Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and SANDC Technology ("Company", "we", "us", or "our"), governing your access to and use of the Naina platform, including all associated services, features, content, and applications (collectively, the "Service").
By registering for an account, accessing, or using the Service, you affirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and agree to be bound by these Terms and our Privacy Policy.

Description of Services
Naina is a cloud-based property and rental management platform that provides:
- Digital lease creation, management, and renewal tracking
- Automated rent invoicing and payment collection via integrated gateways
- SMS notification and reminder services via Beem Africa
- Tenant onboarding, NIDA/TIN verification support, and profile management
- Multi-branch, role-based access control for property management teams
- Maintenance request tracking and resolution workflows
- Integrated accounting, cash flow, and financial reporting
- UCN control number generation for bank-compliant payments
- Secure cloud file storage powered by AWS S3
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice to registered users.

User Accounts
To access the Service, you must register and maintain an active account. You agree to:
- Provide accurate, current, and complete registration information
- Maintain the confidentiality of your account credentials and not share them with any third party
- Promptly notify us of any unauthorized use of your account at info@sandc.co.tz
- Accept responsibility for all activities that occur under your account
- Not create multiple accounts to circumvent restrictions or subscription limits
Important: We are not liable for any loss or damage arising from your failure to protect your account credentials.
Each registered organization is entitled to one administrative account. Sub-users (managers, accountants, tenants) may be created within your organization at limits defined by your subscription plan.

Payments & Billing
Access to the full Service requires a paid subscription. By subscribing, you agree to the following:
- Billing: Subscriptions are billed in Tanzanian Shillings (TZS) on a monthly, 6-monthly, or annual basis depending on the cycle you select.
- Usage-based pricing: Your monthly charge is calculated based on the number of active tenants managed during the billing period.
- Free trial: New accounts receive a 30-day free trial with full access to the platform. No credit card is required during the trial period.
- Auto-renewal: Subscriptions do not auto-renew. You must manually initiate each payment cycle through the platform's subscription dashboard.
- Setup fees: Certain subscription tiers require a one-time setup fee, which is invoiced and settled separately from the recurring subscription.
- Refunds: Subscription payments are non-refundable except where required by applicable Tanzanian law.
- Payment gateways: Payments are processed through Selcom/SafariBank and supported mobile money providers including M-Pesa, Tigo Pesa, Airtel Money, Halopesa, and EzyPesa.
We reserve the right to suspend access to the Service if your account has overdue payments. Full access will be reinstated promptly upon settlement.

Data & Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
- You retain full ownership of the data you upload, input, or generate through the platform ("Your Data").
- By using the Service, you grant SANDC Technology a limited, non-exclusive licence to store, process, and display Your Data solely to provide the Service.
- We implement industry-standard security measures including encryption in transit (TLS) and at rest (AWS S3).
- We will not sell, share, or disclose Your Data to third parties except as required to deliver the Service or as required by Tanzanian law.
- You are responsible for ensuring that any personal data you upload — including tenant NIDA numbers and financial information — is collected with appropriate consent under applicable law.

Acceptable Use
You agree not to use the Service to:
- Violate any applicable Tanzanian or international laws or regulations
- Upload, transmit, or store any content that is fraudulent, defamatory, or infringes any third-party rights
- Attempt to gain unauthorized access to our systems, servers, or databases
- Use automated tools (bots, scrapers) to extract data from the platform without our written consent
- Introduce viruses, malware, or any other harmful code
- Impersonate another user, person, or entity
- Circumvent, disable, or interfere with security-related features of the Service
- Use the Service for any purpose that facilitates illegal rental practices, tax evasion, or financial fraud
Violation of this section may result in immediate suspension or termination of your account without refund.

Intellectual Property
All elements of the Naina platform — including software, source code, design, trademarks, logos, and documentation — are the exclusive intellectual property of SANDC Technology and are protected under Tanzanian and international copyright and trademark law.
Nothing in these Terms grants you any right to use SANDC Technology's name, logos, or trademarks without our prior written consent. You may not reproduce, distribute, modify, or create derivative works of any part of the platform.

Limitation of Liability
To the maximum extent permitted by applicable law, SANDC Technology and its officers, employees, agents, and affiliates shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities arising from your use of the Service
- Damages resulting from unauthorized access to or alteration of your data
- Service interruptions, downtime, or errors in the platform
- Actions or omissions of third-party payment processors or SMS providers
Our total aggregate liability for any claim arising under these Terms shall not exceed the total amount you paid to us in the 3 months preceding the claim.

Termination
- By you: You may close your account at any time by contacting us at info@sandc.co.tz. No refunds will be issued for unused subscription days.
- By us: We may suspend or terminate your account immediately if you breach these Terms, fail to pay your subscription, or engage in conduct that we determine is harmful to the platform or other users.
Upon termination, your access to the Service will be revoked. We will retain your data for 90 days following termination, after which it will be permanently deleted. You may request an export of your data during this period.

Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Republic of Tanzania. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Dar es Salaam, Tanzania.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Changes to Terms
We reserve the right to update or modify these Terms at any time. When we do, we will revise the "Last updated" date at the top of this page and, for material changes, notify registered users via the platform or email.
Your continued use of the Service following the posting of updated Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Service.
